Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you (“Customer”, “you”) and Intelek AI (Thailand) Co., Ltd. (“Jadkan”, “we”, “us”), governing your access to and use of the Jadkan platform at jadkan.ai.

By creating an account or using the service, you confirm that you have read, understood, and agreed to these Terms. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use Jadkan.

2. Description of Service

Jadkan is an AI-powered business management platform that consolidates core business functions into a single workspace. The platform enables businesses to:

  • Manage a centralized knowledge base of business data including products, inventory, services, operating hours, and business policies
  • Unify customer communications from Facebook Messenger, Instagram Direct, LINE, and other channels in a single inbox
  • Deploy AI agents that operate with full context of the business’s data to handle customer inquiries, suggest responses, and automate routine interactions
  • Gain operational insights through intelligent analytics and reporting

Jadkan may update or modify features of the service at any time. We will communicate material changes in advance where reasonably practicable.

3. Eligibility

You must be at least 18 years old and authorized to enter into legally binding contracts to use Jadkan. By using the service, you represent that all information you provide is accurate and that you will keep it current. Jadkan is intended for business use; use of the platform for personal, family, or household purposes is not supported.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete registration information
  • Notify us immediately at contact@jadkan.ai if you suspect unauthorized access to your account
  • Not share your account credentials with individuals outside your organization
  • Not create accounts for the purpose of circumventing restrictions or service limits

We are not liable for any loss or damage arising from your failure to maintain account security.

5. Acceptable Use

You agree to use Jadkan only for lawful business purposes and in accordance with these Terms. You must not:

  • Use the platform to send spam, unsolicited messages, or communications that violate applicable anti-spam laws
  • Harass, abuse, or threaten any person through the platform or connected messaging channels
  • Use Jadkan to transmit malware, viruses, or any code of a destructive nature
  • Attempt to gain unauthorized access to Jadkan’s systems, databases, or other customers’ workspaces
  • Reverse engineer, decompile, or attempt to extract the source code of the Jadkan platform
  • Resell or sublicense access to Jadkan without prior written consent
  • Use automated tools to scrape data from the platform beyond what is permitted by any API we provide
  • Violate the terms, policies, or guidelines of any third-party platform connected to Jadkan (see Section 6)

We reserve the right to suspend or terminate accounts found in violation of these rules without prior notice.

6. Third-Party Platform Compliance

Jadkan integrates with external platforms including Meta (Facebook, Instagram) and LINE. When you connect these platforms, you are solely responsible for ensuring your use of those channels complies with their respective terms and policies:

Facebook & Instagram (Meta)

You must comply with Meta’s Platform Terms, Messenger Platform Policy, and Instagram Platform Policy. This includes restrictions on message types, response windows (standard messaging applies within 24 hours of the last customer message), prohibited content categories, and opt-in/opt-out requirements. You are responsible for obtaining any necessary consents from your customers before messaging them.

LINE

You must comply with LINE’s Official Account Terms of Use and Messaging API Terms of Use, including restrictions on broadcast messaging, prohibited content, and user privacy requirements.

Jadkan is a technology provider. We are not responsible for your compliance with third-party platform policies, and violations of those policies may result in suspension of your access to those platforms independently of your Jadkan account.

7. AI Agent Conduct

Jadkan provides AI agents that can respond to customers on your behalf using your business data as context. You acknowledge and agree that:

  • You are fully responsible for the content and accuracy of the business data (products, policies, pricing, inventory) you provide to Jadkan, which AI agents use to generate responses
  • AI-generated responses may contain errors or inaccuracies. You should review AI agent behavior regularly and configure it appropriately for your business
  • You are responsible for all communications sent to your customers through Jadkan, whether sent by a human agent or an AI agent
  • You must not configure AI agents to deceive customers into believing they are speaking with a human when directly and sincerely asked

8. Your Data & Privacy

Your use of Jadkan is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all business data and customer conversation data you bring into or generate through the Jadkan platform. By using Jadkan, you grant us a limited license to process, store, and transmit that data solely for the purpose of providing the service to you.

You are responsible for ensuring you have the right to provide any customer data to Jadkan, including obtaining any required consents from your customers under applicable privacy laws.

9. Intellectual Property

All intellectual property rights in the Jadkan platform—including software, design, trademarks, and content created by us—belong to Intelek AI (Thailand) Co., Ltd. or its licensors. These Terms do not grant you any ownership rights in the platform.

You retain all intellectual property rights in your business data, conversation content, and any materials you upload to the platform.

If you provide feedback or suggestions about Jadkan, you grant us a royalty-free right to use that feedback without any obligation to you.

10. Subscription & Payment

Jadkan is currently available during an early access period. Subscription pricing, billing cycles, and payment terms will be communicated before any paid plan is activated. We will provide adequate advance notice before transitioning from any free or early access period to a paid subscription.

When subscription billing is introduced, additional terms governing payment, refunds, and plan changes will be provided and will form part of these Terms.

11. Service Availability & Modifications

We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. We may perform scheduled or emergency maintenance that temporarily affects availability. We will endeavor to notify you of planned maintenance in advance.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for material discontinuations.

12. Disclaimer of Warranties

Jadkan is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that AI agent responses will be accurate, complete, or suitable for any specific business purpose. You are responsible for validating AI-generated content before relying on it.

13. Limitation of Liability

To the maximum extent permitted by Thai law, Intelek AI (Thailand) Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use Jadkan.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Jadkan in the twelve months preceding the claim, or (b) THB 5,000 (five thousand Thai Baht).

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Intelek AI (Thailand) Co., Ltd., its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of Jadkan in violation of these Terms, (b) content or data you provide to the platform, (c) your violation of any third-party platform policy, or (d) your violation of any applicable law or regulation.

15. Termination

Either party may terminate the use of Jadkan at any time. You may close your account through the account settings. We reserve the right to suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to access the platform ceases. Your data will be retained for 30 days following termination to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Jadkan service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the “Last Updated” date at the top of this page. Continued use of Jadkan after the effective date constitutes acceptance of the updated Terms.
